Terms of Use
These Terms of Use ("Terms") govern your use of the rnscribe.com website (the "Site") and, where access has been granted, the RN Scribe research tool for nursing documentation (together, the "Service"), operated by IntelMedica LLC ("IntelMedica," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms; Eligibility
By visiting the Site, submitting a form, subscribing to our newsletter, or using RN Scribe, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
- You must be at least 18 years of age. The Service is not directed to children, and we do not knowingly collect information from anyone under 13.
- Access to the RN Scribe research tool is intended for licensed healthcare professionals, researchers, and healthcare organizations evaluating documentation research workflows.
- If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service: A Research Tool
RN Scribe is a closed-source research tool built by IntelMedica for exploring voice-to-text transcription and structured drafting workflows in nursing documentation research. The Service converts spoken dictation into draft text and provides tools to edit, format, and export those drafts. It does not interpret, analyze, or act on clinical content, and it is not offered as a clinical decision support system or diagnostic tool.
The Site is a marketing and informational surface. It does not collect Protected Health Information (PHI), and you must not submit patient information or any health information through the Site's forms.
3. Important Notice: Research Use Only
For research purposes only. Not a medical device. Not intended for clinical decision-making.
RN Scribe has not been cleared or approved by the U.S. Food and Drug Administration or any other regulatory authority. The Service does not diagnose, treat, cure, or prevent any disease or condition, and it does not provide clinical recommendations, drug interaction warnings, or treatment suggestions.
Nothing produced by the Service is a substitute for the professional judgment of a licensed healthcare professional. All output is a draft that you are solely responsible for reviewing, verifying, and approving before any use. You must not rely on Service output without independent professional review, and you must comply with all applicable laws in your use of the Service, including state recording consent laws where recording is involved.
4. Accounts and Access
Access to the RN Scribe research tool is request-based: you may request access through the Site's contact and demo forms, and we grant access at our discretion, subject to any additional agreement between IntelMedica and your organization. For qualified organizations, Business Associate Agreements (BAAs) are executed for the product where required.
- Account credentials are for a single individual and may not be shared.
- You are responsible for all activity that occurs under your account and for keeping your credentials secure.
- You must notify us promptly at support@rnscribe.com if you suspect unauthorized access to your account.
- We may condition, suspend, or revoke access to the research tool at any time, including where required by an agreement with your organization.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Use the Service for clinical decision-making, diagnosis, or treatment, or represent its output as anything other than a research draft requiring professional review
- Submit PHI, patient-identifying information, or other health information through the Site's forms
- Attempt to gain unauthorized access to the Service, other accounts, or related systems, or probe, scan, or test the vulnerability of the Service without written authorization
- Use automated tools, bots, or scrapers to access the Service, or circumvent rate limiting or bot-protection measures
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Share, resell, sublicense, or transfer access to the Service without our written authorization
6. Intellectual Property; License
6.1 Our Property
The Service is proprietary, closed-source software. IntelMedica and its licensors own and retain all right, title, and interest in and to the Service, including the RN Scribe software, AI models, algorithms, documentation, trademarks, Site content, and all related intellectual property. No rights are granted to you except as expressly stated in these Terms.
6.2 Your License
Subject to your compliance with these Terms, IntelMedica grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended research purposes. This license terminates automatically when your access ends.
6.3 Your Content and Feedback
You retain ownership of content you create using the Service. If you provide feedback, suggestions, or ideas about the Service, you grant IntelMedica a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
7. Third-Party Services
The Site relies on a small set of service providers, described in more detail in our Privacy Policy:
- Cloudflare — hosting (Workers) and Turnstile bot protection on our forms; Turnstile may process technical data such as your IP address
- Resend — email delivery for contact, demo, and BAA form submissions
- Listmonk (self-hosted at newsletter.intelmedica.ai) — double opt-in newsletter delivery
- Umami (self-hosted at analytics.secsols.io) — cookieless, anonymized analytics with no cross-site tracking
- Mautic (self-hosted at mautic.secsols.io) — marketing automation
We do not sell or share your personal data. Third-party services operate under their own terms and privacy policies, and we are not responsible for third-party websites linked from the Site.
8. Privacy and Regional Consumer Rights
Our Privacy Policy explains what the Site collects (contact-form details, newsletter email addresses, anonymized analytics, and transient IP data for rate limiting and bot protection) and how we handle it. We describe our practices honestly and honor the rights below; we do not claim any certification (such as SOC 2 or HITRUST) or blanket statutory compliance.
8.1 United States
Our marketing practices are designed to align with the FTC Act (truthful claims and privacy promises) and the CAN-SPAM Act (every marketing email includes a working unsubscribe link and our postal address, and the newsletter uses double opt-in).
A number of state privacy laws — including the California CCPA/CPRA, the Texas Data Privacy and Security Act, and similar laws in other states — grant residents rights to access, correct, and delete personal data and to opt out of the sale or sharing of personal data and targeted advertising. Many of these laws may not apply to us at our current size, but we honor access, correction, and deletion requests from any US resident, and we do not sell or share personal data for cross-context behavioral advertising. We honor the Global Privacy Control (GPC) signal.
Health data note: the Site does not collect consumer health data as defined by the Washington My Health My Data Act or Nevada SB 370, and we do not infer health status from your use of the Site. The Site's audience is healthcare professionals in their occupational capacity, not patients. We are not a covered entity under HIPAA; the RN Scribe product applies HIPAA-aligned safeguards, and BAAs are executed with qualified organizations for the product.
8.2 European Union / EEA
Where the EU General Data Protection Regulation (GDPR) applies, we process personal data submitted through the Site on the basis of your consent (newsletter subscription) or our legitimate interest in responding to your inquiry (contact and demo forms). You have the rights of access, rectification, erasure, restriction, portability, and objection, and the right to lodge a complaint with your supervisory authority. Personal data submitted through the Site is processed in the United States; where a transfer safeguard is required, we rely on your consent at the point of collection, the necessity of the transfer to respond to your request, and EU Standard Contractual Clauses in our service-provider agreements where applicable.
8.3 United Kingdom
For UK visitors, the UK GDPR and Data Protection Act 2018, as amended by the Data (Use and Access) Act 2025, provide equivalent rights. You may raise a data protection complaint with us directly at privacy@intelmedica.ai (we acknowledge complaints within 30 days) or complain to the Information Commissioner's Office (ICO).
8.4 Other Regions
If you visit the Site from elsewhere, local data protection law may grant you rights we will honor on request, including under Canada's PIPEDA and Quebec Law 25, Brazil's LGPD, Australia's Privacy Act 1988, Japan's APPI, and India's DPDP Act. Data you submit is processed in the United States; contact us at privacy@intelmedica.ai to exercise access, correction, or deletion rights, and use the unsubscribe link in any email to stop marketing communications.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
IntelMedica does not warrant that:
- Transcriptions or other output will be accurate, complete, or error-free
- The Service will be uninterrupted, timely, secure, or free of defects
- The Service will meet your specific requirements or expectations
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELMEDICA AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELMEDICA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
IntelMedica is not liable for errors, omissions, or inaccuracies in Service output. You acknowledge that all output is a research draft requiring independent professional review before any use. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless IntelMedica and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service, including any use of Service output in a clinical context; (b) your violation of these Terms; (c) your violation of any applicable law, including recording consent and data protection laws; or (d) content you submit through the Service. This section does not apply to consumers in jurisdictions where such indemnification obligations are not enforceable.
12. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Subject to Section 13 and Section 14, any disputes arising from these Terms shall be brought exclusively in the state or federal courts located in the State of Texas, and you consent to their jurisdiction.
13. Dispute Resolution
Before filing any claim, you agree to first contact us at support@rnscribe.com with a written description of the dispute and give us 30 days to work with you toward an informal resolution. If the dispute is not resolved informally, it shall be resolved in the courts identified in Section 12. Either party may bring an individual claim in small-claims court where eligible, and either party may seek injunctive relief to protect its intellectual property in any court of competent jurisdiction.
14. Consumer Rights in the EU, UK, and Elsewhere
If you are a consumer in the European Union, United Kingdom, or another jurisdiction whose laws grant you mandatory consumer rights, nothing in these Terms — including the choice of Texas law and venue, the warranty disclaimers, the limitation of liability, and the indemnification provision — deprives you of the protection of mandatory provisions of the law of your country of residence, and you may be entitled to bring proceedings in the courts of your country of residence. Those mandatory local consumer rights are unaffected by these Terms.
15. Termination
15.1 By You
You may stop using the Service at any time and may request deletion of your account and associated personal data by contacting us. Upon account deletion, your data will be permanently removed within 30 days, except where retention is required by law.
15.2 By IntelMedica
We may suspend or terminate your access if you violate these Terms, use the Service outside its research scope, engage in abusive behavior, or if required by law or by an agreement with your organization. We will make reasonable efforts to notify you before termination, except in cases of serious violations or legal requirements.
15.3 Effect of Termination
Upon termination, your license and right to use the Service cease immediately. You may export your data before account deletion. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will survive.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page and, for material changes, provide notice on the Site or within the application. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service.
