Terms of Service
These Terms of Service ("Terms") govern your use of RN Scribe, a clinical documentation tool operated by IntelMedica LLC ("IntelMedica," "we," "us," or "our") and available at rnscribe.com. By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
RN Scribe is a voice-to-text transcription tool designed to assist licensed healthcare professionals in drafting clinical note templates. The Service converts spoken dictation into text using locally hosted AI models and provides tools to edit, format, and export clinical notes.
2. Not a Medical Device
RN Scribe is a clinical documentation tool only. It is not a medical device, software as a medical device (SaMD), clinical decision support system, or diagnostic tool. RN Scribe does not:
- Diagnose, treat, cure, or prevent any disease or condition
- Provide clinical recommendations, drug interaction warnings, or treatment suggestions
- Make any clinical decisions on behalf of the user or the patient
- Replace professional clinical judgment in any capacity
The Service transcribes what you say and formats it into structured notes. It does not interpret, analyze, or act on clinical content.
3. User Responsibilities
3.1 Professional Qualification
You represent and warrant that you are a licensed healthcare professional (RN, LPN, CNA, or equivalent) authorized to create clinical documentation within your scope of practice.
3.2 No Patient-Identifying Information
You agree not to dictate patient-identifying information into RN Scribe, including but not limited to: patient names, dates of birth, Social Security numbers, medical record numbers (MRN), account numbers, or any other Protected Health Information (PHI) as defined by HIPAA. RN Scribe is designed for clinical note templates, not for patient-specific documentation containing identifiers.
3.3 Review Before Use
All transcriptions generated by RN Scribe are drafts. You are solely responsible for reviewing, verifying, and approving all transcribed content before copying it into your Electronic Medical Record (EMR) or using it in any clinical context. You must not rely on transcriptions without review.
3.4 Compliance with Laws
You agree to use the Service in compliance with all applicable federal, state, and local laws, including HIPAA regulations and state recording consent laws. In states that require all-party consent for recording, you are responsible for obtaining patient consent before recording.
4. Account Terms
- Each account is for a single individual. You may not share your account credentials with others.
- You are responsible for all activity that occurs under your account.
- You must use your hospital's approved authentication method (SSO) when available.
- You must notify your administrator immediately if you suspect unauthorized access to your account.
5. Data Ownership
5.1 Your Content
You retain ownership of all transcriptions and clinical notes you create using the Service. IntelMedica does not claim ownership of your content.
5.2 Service and Models
IntelMedica owns and retains all rights to the RN Scribe platform, software, AI models, algorithms, and related intellectual property.
5.3 Correction Data License
By using the Service, you grant IntelMedica a non-exclusive, royalty-free, worldwide license to use de-identified correction data (the differences between original transcriptions and your edits) for the purpose of improving transcription accuracy. All correction data is stripped of any personally identifiable information before use. No raw audio or identifiable content is used for model training.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IntelMedica does not warrant that:
- Transcriptions will be 100% accurate, complete, or error-free
- The Service will be uninterrupted, timely, secure, or free of defects
- The Service will meet your specific requirements or expectations
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELMEDICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
IntelMedica is not liable for any errors, omissions, or inaccuracies in transcriptions. You acknowledge that all transcriptions are drafts that require professional review before clinical use.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Use automated tools, bots, or scripts to access the Service without prior written permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Share, resell, or sublicense access to the Service without authorization
9. Service Availability
We strive to provide reliable and continuous access to the Service. However, the Service is provided on a best-effort basis. We do not guarantee a specific uptime percentage or service level agreement (SLA) at this time. We reserve the right to perform maintenance, updates, or modifications that may temporarily affect availability.
10. Termination
10.1 By You
You may stop using the Service and delete your account at any time. Upon account deletion, your data will be permanently removed within 30 days.
10.2 By IntelMedica
We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. We will make reasonable efforts to notify you before termination, except in cases of egregious violations or legal requirements.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. You may export your data before account deletion. Sections that by their nature should survive termination (including Disclaimer, Limitation of Liability, and Governing Law) will survive.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in the State of Texas.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice within the application and updating the "Last Updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service and delete your account.
